Use of Services

You may use the Services only in compliance with applicable law and these Terms. You may not use the Services in any manner that could interfere with, disrupt, damage, or impair the Services or the systems or networks used to provide them.

We may suspend, restrict, or terminate access to the Services at any time, with or without notice.

Accounts

If you are provided with account credentials, you are responsible for maintaining their confidentiality and for all activities that occur under your account.

Customer Data

As between you and HRAFN, you retain any rights you may have in data submitted to or made available through the Services ("Customer Data"). You grant HRAFN the right to access, use, host, copy, process, transmit, and display Customer Data as reasonably necessary to provide, maintain, support, secure, improve, and develop the Services and as otherwise permitted by applicable law.

You represent that you have all rights, consents, and authorizations necessary to provide Customer Data and permit its use in connection with the Services.

Intellectual Property

The Services, including all software, content, design, functionality, and underlying technology, are owned by HRAFN or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted by HRAFN in writing, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or otherwise attempt to derive source code from the Services.

Third-Party Services

The Services may interoperate with or depend on third-party products, services, data sources, or integrations. HRAFN is not responsible for third-party services and makes no representations or warranties with respect to them.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, HRAFN disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or that the Services will be uninterrupted or error-free.

Any outputs, insights, recommendations, or workflow assistance generated through the Services are provided for informational and operational purposes only. You are solely responsible for reviewing and determining whether to rely on or act on any such outputs.

Limitation of Liability

To the maximum extent permitted by law, HRAFN and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, HRAFN's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount paid by you to HRAFN for the Services in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Indemnity

You agree to defend, indemnify, and hold harmless HRAFN and its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

Changes to Services or Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms at any time by posting a revised version. Your continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
